Our Business Policy 1.1 Qwholesale By New Era offers products for sale on Qwholesale.com and its e-commerce business services are available exclusively to its end users, i.e. the "Consumers". 1.3 Qwholesale By New Era reserve the right not to process orders received from users who are not "Consumers" and any other order which does not comply with Qwholesale's business policy. 1.4 These General Terms and Conditions of Sale exclusively regulate the offer, transmission and acceptance of purchase orders relating to products on Qwholesale.com between the users of Qwholesale.com and Qwholesale. 1.5 The General Terms and Conditions of Sale do not regulate the supply of services or the sale of products performed by third parties which are on Qwholesale.com through links, banners or other hypertext links. How to Execute a Contract with Qwholesale 2.1 In order to place an order for the purchase of one or more products on Qwholesale.com, you must fill out the electronic order form and send it electronically to Qwholesale By New Era, following the relevant instructions. 2.2 The order form contains a summary of these General Terms and Conditions of Sale, information on the main characteristics of each product ordered and the relevant unit price (including all applicable fees and taxes), the type of payment that you may use in order to purchase each product, shipping terms for the purchased products, shipping and delivery costs and the terms and conditions for the return of purchased products. 2.3 An order shall be deemed to have been submitted upon the electronic receipt by Qwholesale of your order form. 2.4 Before submitting your order form for the purchase of products, you will be asked to carefully read the General Terms and Conditions of Sale, to print a copy through the print option and to save or reproduce a copy thereof for your own personal use. 2.5 The order form will be filed in our data base for such a period of time required in order to process your order and as provided by law. If the order form has been sent and the price has been paid for items that are no longer available, Qwholesale By New Era will refund you the sum paid. 2.10 By submitting an order form and contracting with Qwholesale By New Era, you unconditionally accept and undertake to observe the provisions of these General Terms and Conditions of Sale. Should you not agree with certain provisions of these General Terms and Conditions of Sale, please do not submit your order form for the purchase of products on Qwholesale.com. 2.11 By submitting an order form, you agree and accept these General Terms and Conditions of Sale as well as the further conditions contained on Qwholesale.com, also through links, including the General Terms and Conditions of Use and the Privacy Policy. 2.12 Upon submission of an order form, Qwholesale By New Era shall send to you, via e-mail, a receipt of the purchase order, containing a summary of the information related to the order form (General Terms and Conditions of Sale, the products' main characteristics, a detailed indication of the price, terms of payment, return right and shipping costs). 3. Warranties and Indication of Product Prices 3.1 On Qwholesale.com, we offer for sale luxury and top-quality products. These products are purchased Qwholesale By New Era directly from fashion houses, manufacturers and dealers, carefully selected by stringent quality controls. 3.2 Qwholesale By New Era does not sell second-hand products, flawed products or products of lower quality as compared to the corresponding standards offered on the market. Only vintage products, which are sold in a specific area on Qwholesale.com, may be second hand and/or in a worn condition because of the particular nature of the product. In the description of each vintage product, Qwholesale By New Era will specify the preservation conditions of the products if different from the standards set by the market. 3.3 The main characteristics of products are shown on Qwholesale.com inside each product schedule. The products offered for sale on Qwholesale.com may not exactly correspond to the real garments in terms of image and colors because of the Internet browser or of the monitor used. 3.4 Prices are subject to change. Check the final price of sale before sending the relevant order form. 3.5 Purchase orders from Countries not included among those displayed on the splash page cannot be accepted Qwholesale By New Era (for exceptions see the Frequently Asked Questions). 3.6 All Products come with a refund label attached to a single-use seal. Do not remove the label or relevant seal from the purchased products should you wish to return the purchased product. 3.7 Should you decide to exercise your right to return purchased products, Qwholesale By New Era will not accept returned products that are returned without the relevant label or seal or that have been altered from their original status or damaged. 4. Payments 4.1 Payment of the product prices and relevant shipping costs must be made by using one of the procedures indicated on the order form. 4.2 In case of payment by credit/debit card, all details (for example, card number or expiration date) will be sent by encrypted protocol to Banca Sella or other banks which provide remote electronic payment services, without third parties having any access thereto whatsoever. Such details will not be used by Qwholesale except for performing the procedure relevant to your purchase or issuing relevant refunds in the case of returns, in compliance with the exercise of your return right or for reporting cases or frauds to the police. The price for the purchase of products and the relevant shipping costs, as indicated in the order form, will be charged to your current account only when the purchased products are actually delivered. 5. Value Vouchers 5.1 Value vouchers are personalised codes, also referred to as Qwholesale CODES, which allow you to take advantage of a discount on your purchase on Qwholesale.com. 5.2 The Qwholesale CODE box is displayed on the first page of the basket: after you have inserted your items in the basket and entered your code, press New Total. In the pop-up window, you will need to select the item to which you wish to apply your voucher. Select the item and press APPLY. Value vouchers can be used only on a single item from your order, therefore any other item inserted in the basket will not receive a discount. 5.3 Restrictions to the use of value vouchers: The value voucher can be used only once, with the exception of returns 5.4 If for any reason you are not satified with your order, you may return the item to which you applied the value voucher by following the standard return procedure, as described in the Returns and Refunds section. Once your return has been accepted, the respective code will be restored to its original value. The difference in price between the value voucher and the item you purchased will be fully reimbursed, following the standard refund procedure. 6. Returns 8.1 You may return products purchased from Qwholesale, without any penalty and without specifying the reason within seven (7) working days of receipt of the products purchased on Qwholesale.com. You will not be able to exchange one item for another instead. 8.2 To return products we invite you to fill out the Return Form. 8.3 In this case, you shall return the items to Qwholesale By New Era giving them back to the courier within 3-5 working days. This grace period begins the day the items are delilvered to you. 8.4 The only costs you will bear are the shipping costs of the return should you decide to return the products using a different shipping company other than the one indicated by Qwholesale in the return form. However, should you decide to return the products using the package delivery company suggested by qwholesale, we shall bear the shipping costs for returning the products. 8.5 The return right - besides compliance with the terms and procedures described at par. 8.1, 8.2, 8.3 and 8.4 above - shall be deemed correctly exercised once the following conditions have been fully met: 8.6 If the return right is exercised in conformity with the provisions set forth in this paragraph 8, Qwholesale By New Era shall refund the sums paid for the returned products, net of any shipping costs for the delivery to you of the purchased products. 8.7 Qwholesale By New Era shall refund the sums already paid for the purchase of the products and the shipping costs for the delivery of the purchased products to you only if the products are returned for reasons that may be due to Qwholesale By New Era, as in the case where the products do not have the promised essential characteristics, have manufacturing defects or they have been erroneously delivered. In this last case you may use the return form. 8.8 Qwholesale By New Era shall refund sums already paid as soon as possible and in any case within thirty (30) days from the date on which Qwholesale By New Era became aware of your decision to exercise your return right. We will promptly start the procedure for refunding the sums, after having confirmed that the terms and conditions stated above have been duly complied with, as indicated in paragraph 9. 8.9 In the event that your return does not comply with the terms and conditions set out in paragraph 8 of these General Terms and Conditions of Sale, you will not be entitled to any refund of sums already paid to Qwholesale By New Era; nevertheless, you shall be entitled, at your own expense, to receive the products in the conditions in which they were sent back to Qwholesale By New Era. If you do not wish to receive the products in the conditions in which they were sent back to Qwholesale By New Era, Qwholesale By New Era shall be entitled to keep the products and withhold the sums already received. 9. Refund Times and Procedures 9.1 After the products have been returned, Qwholesale By New Era shall check the conformity of the products with the conditions indicated in paragraph 8 above. When Qwholesale By New Era is able to confirm that such conditions have been met, Qwholesale By New Era shall send you the relevant confirmation of acceptance of the returned products by e-mail. 9.2 Whatever the term of payment used by you, the refund procedure shall be started by Qwholesale By New Era within thirty (30) days from when Qwholesale By New Era learns of your decision to exercise your return right, after checking that the return right has been correctly exercised and that the returned products are accepted. 9.3 If the recipient of the products, as placed in the order form, is different from the individual who made the payment for such products, the sums paid shall be refunded by Qwholesale By New Era to the individual who made the payment. 9.4 The currency exchange rate for the credit shall be the same as the currency exchange rate of the original debit and consequently you shall not lose out in terms of bank interest. 9.5 Qwholesale By New Era has chosen Fedex (which can be contacted at Fedex numbers) as Qwholesale's official package delivery company for returning products purchased on Qwholesale.com. You may return products to Qwholesale through Fedex by using the pre-printed label enclosed in the package in which the products have been delivered. This enables Qwholesale By New Era to pay for the shipping costs and to track the package at any time. 9.6 If you decide to return products using a different shipping company other than the one indicated by Qwholesale By New Era, shipping costs will be charged to you, and you will be responsible for any loss or damage to the products (howsoever caused). 10.
